Clinician Terms & Conditions

• Ongo Weight Loss operates a telehealth platform that connects patients with licensed clinicians for weight-management consultations and related care.
• The Platform provides scheduling, patient intake, documentation, prescription coordination, and administrative tools. Ongo does not practice medicine and does not replace your independent clinical judgment.
• You remain solely responsible for all medical decisions, documentation, and care you provide to patients.

• You must hold an active, unrestricted license to practice in each state where you agree to see patients through the Platform.
• You agree to provide accurate, complete, and current information about your identity, licensure, credentials, contact details, availability, banking information, and professional profile.
• You authorize Ongo to verify your credentials and to approve, reject, suspend, or deactivate your account based on credentialing, compliance, or operational review.
• You will promptly notify Ongo of any license suspension, revocation, disciplinary action, criminal charge, or material change to your ability to practice.

• Provide care consistent with applicable laws, regulations, and the prevailing standard of care in your profession.
• Review patient intake information, medical history, and prior records as appropriate before making clinical decisions.
• Maintain accurate, timely, and complete clinical documentation for each patient encounter.
• Prescribe medications only when medically appropriate and in compliance with federal and state laws, including telehealth prescribing rules.
• Communicate professionally with patients and respond to clinical messages within a reasonable timeframe.

You agree to use the Platform in accordance with applicable telehealth laws and professional standards. You will determine whether telehealth is appropriate for each patient and visit, and you may decline or discontinue care when telehealth is not clinically appropriate.

The Platform is not intended for emergency care. You will instruct patients to seek emergency services when appropriate.

• You are responsible for keeping your profile, headshot, bio, licensed states, availability, and blocked dates accurate.
• You agree to honor scheduled appointments or provide timely notice when rescheduling is necessary.
• Ongo may display your profile to patients based on state licensure, availability, portal assignment, and operational priority settings.

• Visit compensation, if applicable, will be communicated through the Platform or separate written agreement.
• You are responsible for providing accurate banking and tax information required for payouts.
• Ongo may withhold or adjust payouts where required by law, to resolve billing disputes, or to address suspected fraud or policy violations.

You agree to protect patient information in accordance with HIPAA, state privacy laws, and Ongo's privacy and security policies. You will access patient information only as needed to provide care, maintain records, or fulfill legitimate Platform operations.

You may be asked to enter into a Business Associate Agreement or other privacy-related agreement before providing services through the Platform.

• Do not share your login credentials or allow unauthorized persons to access your account.
• Do not submit false credentials, forged signatures, or misleading profile information.
• Do not use the Platform for unlawful purposes, off-label marketing, or care outside your scope of practice.
• Do not attempt to access other clinicians' or patients' information without authorization.

The Platform, its software, branding, templates, and related materials are owned by or licensed to Ongo. Except as expressly permitted, you may not copy, modify, distribute, or reverse engineer Platform materials.

You grant Ongo a limited license to use your name, photo, credentials, bio, and professional information to operate the Platform, display your profile to patients, and promote services you provide through Ongo, subject to applicable law and your approval rights where required.

Nothing in these Clinician Terms creates an employment, partnership, joint venture, or agency relationship between you and Ongo. You retain independent professional judgment and remain responsible for your clinical decisions, except where a separate written agreement states otherwise.

• Ongo may approve, reject, suspend, deactivate, or terminate your clinician account at any time for credentialing concerns, policy violations, patient safety issues, inactivity, or operational reasons.
• You may stop using the Platform at any time, but you remain responsible for completing documentation and continuity-of-care obligations for patients you have already seen.
• Ongo may update these Clinician Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the updated terms.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Ongo disclaims warranties regarding uninterrupted access, error-free operation, or fitness for a particular purpose.

To the fullest extent permitted by law, Ongo will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Nothing in these Clinician Terms limits liability that cannot be limited under applicable law.
